Midlife Women is intended only for specific non-emergency health and wellness concerns related to menopause and midlife women's care. If you believe you are experiencing a medical emergency, call 911 or seek immediate in-person medical attention.

These Terms and Conditions, together with our Privacy Policy and any additional consents or notices presented through the platform, constitute the agreement governing your access to and use of the Midlife Women website, assessment flows, messaging features, care coordination tools, and related services.

These Terms include a mandatory arbitration provision and class action waiver. Please read them carefully before using the site or requesting any services through the platform.

I. Introduction

In these Terms, “Midlife Women,” “we,” “us,” and “our” refer to the Midlife Women platform and its operators. “You” and “your” refer to the person using the website or platform.

By accessing or using the platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and our Privacy Policy. If you do not agree, do not use the platform.

You also agree that certain communications, disclosures, notices, and records may be provided electronically, including by email, portal message, SMS, or similar digital means where permitted by law.

II. Modification of Terms

We may revise these Terms from time to time. When we do, we will update the effective date at the top of this page. Your continued use of the platform after any revised Terms are posted constitutes your acceptance of the revised Terms.

Midlife Women provides a technology and administrative platform that may support one or more of the following:

Midlife Women does not itself practice medicine, diagnose, prescribe, dispense medication, or provide clinical care. Healthcare services are delivered only by independent licensed clinicians or affiliated professional entities that review your information and exercise their own professional judgment.

By using the platform, you authorize us to transmit your submitted information to affiliated clinical entities, pharmacies, laboratories, and operational vendors as necessary to coordinate requested services.

IV. Eligibility

To use the platform and request services, the following must be true:

Services may not be available in every state, at every time, or for every condition. We may add, suspend, or discontinue availability of any feature, workflow, or service area without prior notice.

VI. Registration, Accounts, and Submitted Data

Certain parts of the platform may require account creation or the submission of assessment, payment, or contact data. You agree to provide current, complete, and accurate information and to update it as needed.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You may not transfer your account or permit another person to use it.

To the extent needed to operate the platform and provide requested services, you grant Midlife Women and its service providers a limited right to use, host, process, transmit, and display the information you submit.

The platform content is informational and operational in nature. It is not a substitute for direct medical advice, diagnosis, treatment, or the independent judgment of a licensed healthcare professional.

XI. Telehealth Consent

Telehealth may involve electronic communications, asynchronous messaging, remote review of submitted information, and other technology-enabled care methods. Before receiving clinical services, you may be asked to agree to a separate informed consent for telehealth.

You understand that telehealth has limitations, including the inability to perform certain physical examinations and the possibility that a clinician may recommend in-person care instead.

XII. Payment, Fees, and Refunds

If you submit payment information through the platform, you authorize us and our payment processors to charge the applicable fees for services, memberships, administrative support, medications, diagnostics, or other selected products where applicable.

Unless otherwise stated, fees charged for clinical reviews, consultations, medications, diagnostics, or fulfillment may be non-refundable once incurred, shipped, dispensed, or performed. Refund eligibility is governed by our posted refund policy and any product- or program-specific terms.

Midlife Women clinicians and affiliated professional entities are generally not contracted with insurance plans. You are responsible for all fees associated with the services you request unless a specific arrangement says otherwise.

XIII. Privacy

Your use of the platform is also governed by our Privacy Policy, which describes how information is collected, used, shared, retained, and protected.

XIV. Intellectual Property

As between you and Midlife Women, we own all right, title, and interest in the platform, including its design, text, graphics, layouts, software, workflows, branding, and other content, together with all related intellectual property rights.

Feedback, suggestions, or ideas you submit may be used by us without restriction or compensation to you.

XV. AI-Generated and Illustrative Content

Some text, images, graphics, or media on the platform may be generated, enhanced, or edited using artificial intelligence tools. Individuals appearing in marketing imagery may be models or AI-generated likenesses and are not necessarily actual patients or licensed clinicians.

XVI. Third-Party Services and Links

The platform may reference or link to third-party providers, pharmacies, laboratories, payment processors, analytics vendors, or external websites. We do not control those third parties and are not responsible for their separate products, services, availability, policies, or legal terms.

XVII. Disclaimer of Warranties

The platform is provided on an “as is” and “as available” basis to the fullest extent permitted by law. We disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.

XVIII. Limitation of Liability

To the fullest extent permitted by law, Midlife Women and its officers, directors, employees, contractors, service providers, and affiliates will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or business interruption arising out of or related to your use of the platform.

To the extent liability cannot be disclaimed, our total aggregate liability will not exceed the greater of the amount you paid to Midlife Women in the three months preceding the event giving rise to the claim or one hundred U.S. dollars.

XIX. Indemnification

You agree to defend, indemnify, and hold harmless Midlife Women and its affiliates, service providers, officers, directors, employees, and agents from and against claims, liabilities, damages, judgments, losses, costs, and expenses arising out of your violation of these Terms, your misuse of the platform, or your infringement of another party's rights.

XX. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles, except where federal law requires otherwise.

XXI. Mandatory Arbitration and Class Action Waiver

Except for matters that may be brought in small claims court, you and Midlife Women agree to resolve disputes arising out of or relating to these Terms, the platform, or any services provided through the platform by final and binding individual arbitration.

Arbitration will be administered by the American Arbitration Association under the consumer arbitration rules then in effect, unless the parties agree otherwise. You and Midlife Women waive the right to a jury trial and waive any right to participate in a class action, class arbitration, mass arbitration, private attorney general action, or other representative proceeding.

Before initiating arbitration, the complaining party must send written notice describing the dispute and requested relief to help@midlifewomen.health. If the dispute is not resolved within 30 days, either party may begin arbitration.

You may opt out of this arbitration provision within 30 days of first accepting these Terms by emailing help@midlifewomen.health with the subject line “Arbitration Opt-Out.”

XXII. Severability and Entire Agreement

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect to the fullest extent permitted by law. These Terms, together with our Privacy Policy, refund policy, medical consent, and any other applicable notices or consents, form the entire agreement between you and Midlife Women regarding the platform.
